Welcome, and thank you for your interest in SVZZ LLC doing business as SAUVAGE ZSA™ & SVZ ("Company", "Store", "Flagship Store", "Brick & Mortar", "we", "our", or "us") and our website www.sauvagezsa.com ("Website", "site") along with our related webpages, networks, social media @sauvagezsa, events, mobile applications, and other services provided by us (collectively, the "Service").  This e-commerce website is operated by SAUVAGE ZSA, a licensed, copyright protected, and federally trademarked business entity.  SAUVAGE ZSA offers this website, including all information, tools and Services available from this site to you, the user, conditioned upon your acceptance of all terms, conditions, policies and notices stated here.

By visiting our site and/ or purchasing something from us either through the Website and/or Store, you engage in our “Service” and agree to be bound by the following terms and conditions (“Terms of Service”, “Terms”), including those additional terms and conditions and policies referenced herein and/or available by hyperlink. These Terms of Service apply to all users of the site, including without limitation users who are browsers, vendors, customers, merchants, and/ or contributors of content. These Terms and conditions apply when you as a consumer visit the site and/or store, place an order through our POS, or use sauvagezsa.com and associated pages. These Terms constitute a legally binding contract between you and the Company regarding your use of the Service, and by placing an order through, visiting the Store in-person, or by visiting the website you agree to these terms. 

We ask that you carefully read these Terms of Service before visiting the Store, and/or accessing or using our website. By accessing or using any part of the site and store, you agree to be bound by these Terms of Service. If you do not agree to all the terms and conditions of this agreement, then you do not have our permission to access the website, visit the Store, or use any Service. Eligibility is described below. IF YOU ARE NOT ELIGIBLE, OR DO NOT AGREE TO THE TERMS, THEN YOU ARE NOT PERMITTED TO USE OUR SERVICES OR VISIT THE STORE. BY CLICKING "AGREE AND CONTINUE", "PLACE ORDER", OR BY OTHERWISE DOWNLOADING, INSTALLING, ACCESSING, VISITING THE STORE IN-PERSON, OR USING THE SERVICE INCLUDING LOGGING INTO YOUR ACCOUNT OR PURCHASING PRODUCTS, YOU AGREE THAT YOU HAVE READ AND UNDERSTOOD, AND, AS A CONDITION TO YOUR USE OF SERVICE YOU AGREE TO BE BOUND BY THE FOLLOWING TERMS & CONDITIONS INCLUDING SAUVAGE ZSA'S PRIVACY POLICY, RETURN & REFUND POLICY, & SHIPPING POLICY (TOGETHER, THESE "TERMS"). YOUR USE OF THE SERVICE, AND SAUVAGE ZSA'S PROVISION OF THE SERVICE TO YOU, CONSTITUTES AN AGREEMENT BY SAUVAGE ZSA AND BY YOU TO BE BOUND BY THESE TERMS.

Any new features or tools which are added to the current store shall also be subject to the Terms of Service. You can review the most current version of the Terms of Service at any time on this page. We reserve the right to update, change or replace any part of these Terms of Service by posting updates and/or changes to our website. It is your responsibility to check this page periodically for changes. Your continued use of or access to the website following the posting of any changes constitutes acceptance of those changes.

Our store is hosted on Shopify Inc. They provide us with the online e-commerce platform that allows us to sell our products and Services to you.

ELIGIBILITY

All purchases made through the Website, Flagship Storefront, and affiliated shopping networks (Shop, Instagram, Meta, Google) are intended for non-commercial and non-reseller use only and by placing an order with SAUVAGE ZSA you agree to these terms and confirm that you are an end consumer. Upon suspicions of you purchasing for commercial use, SAUVAGE ZSA reserves the right to request proof of you being an end consumer, to hold liable for any related damages, and to deny any future sale or cancel your order until such proof has been provided by you. 
You must be at least 18 years old to use the Service and by agreeing to these Terms, you warrant and represent to us the following is accurate: (1) you are 18 years old at minimum; (2) you have not been previously suspended or removed from the service; and (3) your registration and your use of the Service is in compliance with any and all applicable laws and regulations. If you are an organization, company, or entity, the individual accepting these Terms on your behalf warrants and represents that they have authority to bind you to these terms and you agree to be bound by these Terms. 

SECTION 1 - ONLINE AND BRICK & MORTAR STORE TERMS
By agreeing to these Terms of Service, you represent that you are at least the age of majority in your state or province of residence (18 years minimum).
You may not use our products for any illegal or unauthorized purpose nor may you, in the use of the Service, violate any laws in your jurisdiction (including but not limited to trademark and copyright laws).
You must not transmit any worms or viruses or any code of a destructive nature.
A breach or violation of any of the Terms will result in an immediate termination of your Services and may result in litigation pursuant to applicable laws in the United States.

1.1 AUTHORIZATION AND PAYMENT PROCESSING
When placing an order, you authorize Company to charge all sums for the orders that you make, including all applicable taxes, to the payment method you specified. If you pay any fees with a credit card, Company may seek pre-authorization of your credit card account prior to your purchase to verify the validity of the credit card including ensuring it has the necessary funds or credit available to cover your purchase. In addition to the amount due for Products, a delinquent account will be charged with fees or charges that are incidental to any chargeback relating to your order. The Company has the right to seek retribution and collection of any unpaid amount, including collection fees. If your order is placed on hold, we will reach out to you via email for conflict resolution to ensure that the delays are minimal.

SAUVAGE ZSA has partnered with certain third party payment processors to process payments you make via the Service. Third-party payment processer PayPal facilitates and processes some of the Company's orders, currently domestic and future international orders. By choosing to place your order using Paypal, you agree to PayPal's terms and conditions which may be found at: https://www.paypal.com/us/legalhub/home

1.2 REFUNDS, EXCHANGES, AND LIMITED WARRANTY
Products purchased from the Company are subject to the Company's Return & Refund policy stated herein.  As stated, the Company only carries merchandise purchased directly from the brands and artisans themselves; the Company cannot guarantee that products are not entirely free of workmanship errors, including missing threads or similar defects. Products subject to natural dyes, botantical printing, embroidery, vinyl printing, or distressing as part of the styling have the tendency to wear out or fade faster than normal. Many products wear out or develop defects with regular wear-and-tear over time, please be aware and adhere to the manufacturer’s recommended care instructions. The Company warranties all products to be free of such defects for the first 30 days from the date of purchase, given care instructions are strictly adhered to and defects did not occur 30 days after the date of purchase.  After 30 days, we may attempt to assist with repairs and warranty concerns to the extent these items or repair services are available from the brand, but the Company is not obligated to.

SECTION 2 - GENERAL CONDITIONS
We reserve the right to refuse Service to anyone for any reason at any time.


You understand that your content (not including credit card information), may be transferred unencrypted and involve (a) transmissions over various networks; and (b) changes to conform and adapt to technical requirements of connecting networks or devices. Credit card information is always encrypted during transfer over networks.
You agree not to reproduce, duplicate, copy, sell, resell or exploit any portion of the Service, use of the Service, or access to the Service or any contact on the website through which the Service is provided, without express written permission by us.
The headings used in this agreement are included for convenience only and will not limit or otherwise affect these Terms.

2.1 SUBSCRIPTIONS:

How subscriptions work

Subscriptions are automatically renewed according to your selected pickup interval and the products will be automatically ready for pick-up from the shop after each successful renewal.
For example, if you started a monthly subscription, then the system will automatically charge your credit card each month and you will be able to pickup the products at 122 S Monroe St. Suite D in Spokane, WA 99201 each month, without the need to place the order by yourself! Please bring your reusable wine tote to refill for each monthly subscription, otherwise a pickup box will be available for safekeeping during transport of your wine.


Can I pause or cancel a subscription?

Yes, of course. You can pause or cancel a subscription any time you want in the customer portal, as seen in the screenshot below.  There are no refunds for previously charged subscription purchases as once the wine leaves the store it cannot be exchanged or refunded unless a bottle is determined to be corked.  Please be very mindful and cautious transporting the wine subscription for safekeeping, we cannot be held liable or responsible if a bottle breaks or is damaged outside of the store’s premises.
The customer portal can be accessed through the magic link you received in the email that was sent to you when you placed an initial subscription order in the shop. You can also access your subscriptions if you create an account in the online shop.

How can I skip or reschedule a charge?

You can skip or reschedule the charge in the customer portal. Each scheduled pickup will have a Skip payment button next to it, which you can use to skip the charge. You can reschedule the charge by clicking on the Reschedule button next to the pickup date.


Can I add products to my subscription?

Of course. You can add products to your subscription in the customer portal. Just click on the Edit button in the products card and edit, remove or add products to your subscription.


What happens if the payment can't be processed?

If the subscription can't be renewed because a payment can't be processed you will receive an email with a link where you can safely update your payment method.  Memberships that are not paid for cannot be honored.

We are not responsible if information made available on this site is not accurate, complete, or current. The material on this site is provided for general information only and should not be relied upon or used as the sole basis for making decisions without consulting primary, more accurate, more complete or more timely sources of information. Any reliance on the material on this site is at your own risk.
This site may contain certain historical information. Historical information, necessarily, is not current and is provided for your reference only. We reserve the right to modify the contents of this site at any time, but we have no obligation to update any information on our site. You agree that it is your responsibility to monitor changes to our site.

SECTION 4 - MODIFICATIONS TO THE SERVICE, PAYMENT TERMS, AND PRICES
Prices for our products are subject to change without notice. We reserve the right at any time to modify or discontinue the Service (or any part or content thereof) without notice at any time.
We shall not be liable to you or to any third-party for any modification, price change, suspension or discontinuance of the Service.

Prior to paying any fees for items you'd like to purchase ("Products"), you will have an opportunity to review and accept the fees that you will be charged. The Company reserves the right to determine pricing for Products and will make all reasonable efforts to maintain accurate pricing information. SAUVAGE ZSA may change the fees for any Product at any time, and at its sole discretion, may make promotional offers with different features and different pricing to any of the Company's customers. These promotional offers, unless made specifically to you, will not apply to your offer or these Terms. 

Shipping charges for your order will be determined and made available for your order upon checkout, and you must pay all shipping charges for the location of the mailing address provided upon checkout. Please note that international packages are subject to duties and taxes; you must also pay all tariff, import, customs, tax, and other charges applicable in your jurisdiction. The limits for duty-free packages are established by local customs authorities and out of the Company's control. Due to restrictions from our financial institutions, restrictions by law, and current business strategies SAUVAGE ZSA does not ship to international locations outside of the domestic United States. We will expand shipping operations to international markets as soon as possible. 


SECTION 5 - PRODUCTS OR SERVICES 
Certain products or Services may be available exclusively online through the website and in the Store. These products or Services may have limited quantities and are subject to return or exchange only according to our Refund Policy.

We have made every effort to display as accurately as possible the colors and images of our products that appear at the store, and note all images are exclusively illustrations. We cannot guarantee that your computer monitor's display of any color will be accurate, nor can we guarentee consistencies in color, size, fit, or texture. We reserve the right, but are not obligated, to limit the sales of our products or Services to any person, geographic region or jurisdiction. We may exercise this right on a case-by-case basis. We reserve the right to limit the quantities of any products or Services that we offer. All descriptions of products or product pricing are subject to change at anytime without notice, at the sole discretion of us. We reserve the right to discontinue any product at any time. Any offer for any product or Service made on this site is void where prohibited.
We do not warrant that the quality of any products, Services, information, or other material purchased or obtained by you will meet your expectations, or that any errors in the Service will be corrected.

SECTION 6 - ACCURACY OF BILLING AND ACCOUNT INFORMATION
We reserve the right to refuse any order you place with us. We may, in our sole discretion, limit or cancel quantities purchased per person, per household or per order. These restrictions may include orders placed by or under the same customer account, the same credit card, and/or orders that use the same billing and/or shipping address. In the event that we make a change to or cancel an order, we may attempt to notify you by contacting the e‑mail and/or billing address/phone number provided at the time the order was made. We reserve the right to limit or prohibit orders that, in our sole judgment, appear to be placed by dealers, resellers or distributors.

You agree to provide current, complete and accurate purchase and account information for all purchases made at our store. You agree to promptly update your account and other information, including your email address and credit card numbers and expiration dates, so that we can complete your transactions and contact you as needed.

SECTION 7 - OPTIONAL TOOLS
We may provide you with access to third-party tools over which we neither monitor nor have any control nor input.
You acknowledge and agree that we provide access to such tools ”as is” and “as available” without any warranties, representations or conditions of any kind and without any endorsement. We shall have no liability whatsoever arising from or relating to your use of optional third-party tools.
Any use by you of the optional tools offered through the site is entirely at your own risk and discretion and you should ensure that you are familiar with and approve of the terms on which tools are provided by the relevant third-party provider(s).
We may also, in the future, offer new Services and/or features through the website (including the release of new tools and resources). Such new features and/or Services shall also be subject to these Terms of Service.

Certain content, products and Services available via our Service may include materials from third-parties.
Third-party links on this site may direct you to third-party websites that are not affiliated with us. We are not responsible for examining or evaluating the content or accuracy and we do not warrant and will not have any liability or responsibility for any third-party materials or websites, or for any other materials, products, or Services of third-parties.
We are not liable for any harm or damages related to the purchase or use of goods, Services, resources, content, or any other transactions made in connection with any third-party websites. Please review carefully the third-party's policies and practices and make sure you understand them before you engage in any transaction. Complaints, claims, concerns, or questions regarding third-party products should be directed to the third-party.

If, at our request, you send certain specific submissions (for example contest entries) or without a request from us, you send creative ideas, suggestions, proposals, plans, or other materials, whether online, by email, by postal mail, or otherwise (collectively, 'comments'), you agree that we may, at any time, without restriction, edit, copy, publish, distribute, translate and otherwise use in any medium any comments that you forward to us. You agree that your comments will not violate any right of any third-party, including copyright, trademark, privacy, personality or other personal or proprietary right. You further agree that your comments will not contain libelous or otherwise unlawful, abusive or obscene material, or contain any computer virus or other malware that could in any way affect the operation of the Service or any related website. You may not use a false e‑mail address, pretend to be someone other than yourself, or otherwise mislead us or third-parties as to the origin of any comments. You are solely responsible for any comments you make and their accuracy. We take no responsibility and assume no liability for any comments posted by you or any third-party.

Your submission of personal information through the store is governed by our Privacy Policy.

10.1 LIMITED LICENSES & RESTRICTIONS                                                                                  Subject to your complete adherence and ongoing compliance with these Terms, the Company grants you, solely for your personal, non-commercial use, a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to access and use the Service.  Except and solely to the extent a restriction is impermissible under applicable law, you may not: (1) distribute, publicly display, reproduce, or publicly perform the Service or use any of the Service as inspiration for your own trade purposes; (2) make modifications to the Service; or (3) interfere with any feature of the Service, including any access control or security mechanism. If you have been prohibited under applicable law, you may not use the Service. 

If you choose to provide a review of a Product, or make suggestions or input regarding problems with or proposed improvements to the Service ("Feedback"), then you hereby grant the Company a perpetual, irrevocable, non-exclusive, royalty-free and fully-paid right to exploit the Feedback in any manner and for any purpose, but primarily to improve the Service and in the creation of other products and services.

Occasionally there may be information on our site or in the Service that contains typographical errors, inaccuracies or omissions that may relate to product descriptions, pricing, promotions, offers, product shipping charges, transit times and availability. We reserve the right to correct any errors, inaccuracies or omissions, and to change or update information or cancel orders if any information in the Service or on any related website is inaccurate at any time without prior notice (including after you have submitted your order).
We undertake no obligation to update, amend or clarify information in the Service or on any related website, including without limitation, pricing information, except as required by law. No specified update or refresh date applied in the Service or on any related website, should be taken to indicate that all information in the Service or on any related website has been modified or updated.

We do not guarantee, represent or warrant that your use of our Service will be uninterrupted, timely, secure or error-free. You agree that from time to time we may remove the Service for indefinite periods of time or cancel the Service at any time, without notice to you.
You expressly agree that your use of, or inability to use, the Service is at your sole risk. The Service and all products and Services delivered to you through the Service are (except as expressly stated by us) provided 'as is' and 'as available' for your use, without any representation, warranties or conditions of any kind, either express or implied, including all implied warranties or conditions of merchantability, merchantable quality, fitness for a particular purpose, durability, title, and non-infringement.
In no case shall SAUVAGE ZSA, our directors, officers, employees, affiliates, agents, contractors, interns, suppliers, Service providers or licensors be liable for any injury, loss, claim, or any direct, indirect, incidental, punitive, special, or consequential damages of any kind, including, without limitation lost profits, lost revenue, lost savings, loss of data, replacement costs, or any similar damages, whether based in contract, tort (including negligence), strict liability or otherwise, arising from your use of any of the Service or any products procured using the Service, or for any other claim related in any way to your use of the Service or any product, including, but not limited to, any errors or omissions in any content, or any loss or damage of any kind incurred as a result of the use of the Service or any content (or product) posted, transmitted, or otherwise made available via the Service, even if advised of their possibility. Because some states or jurisdictions do not allow the exclusion or the limitation of liability for consequential or incidental damages, in such states or jurisdictions, our liability shall be limited to the maximum extent permitted by law.

SECTION 14 - INDEMNIFICATION
You agree to indemnify, defend and hold harmless SAUVAGE ZSA and our parent, subsidiaries, affiliates, partners, officers, directors, agents, contractors, licensors, Service providers, subcontractors, suppliers, interns and employees, harmless from any claim or demand, including reasonable attorneys’ fees, made by any third-party due to or arising out of your breach of these Terms of Service or the documents they incorporate by reference, or your violation of any law or the rights of a third-party.

SAUVAGE ZSA including but not limited to its affiliations (owner, employees, vendors, parent, subsidiaries, partners, officers, suppliers, and wholesalers) will not be held liable for the following actions that are caused by the consumer or user of the Services or to another party, such as: risk, danger, injury, or damages.  When using the Website, products, or services related to SAUVAGE ZSA, the consumer agrees to hold SAUVAGE ZSA harmless especially when embarking on an activity or using a purchased item. You may not blame SAUVAGE ZSA or its affiliates for any loss or liability and there is no exemption. 

SECTION 15 - SEVERABILITY
In the event that any provision of these Terms of Service is determined to be unlawful, void or unenforceable, such provision shall nonetheless be enforceable to the fullest extent permitted by applicable law, and the unenforceable portion shall be deemed to be severed from these Terms of Service, such determination shall not affect the validity and enforceability of any other remaining provisions.

SECTION 16 - TERMINATION
The obligations and liabilities of the parties incurred prior to the termination date shall survive the termination of this agreement for all purposes.
These Terms of Service are effective unless and until terminated by either you or us. You may terminate these Terms of Service at any time by notifying us that you no longer wish to use our Services, or when you cease using our site.
If in our sole judgment you fail, or we suspect that you have failed, to comply with any term or provision of these Terms of Service, we also may terminate this agreement at any time without notice and you will remain liable for all amounts due up to and including the date of termination; and/or accordingly may deny you access to our Services (or any part thereof).

SECTION 17 - INTELLECTUAL PROPERTY & OWNERSHIP; PROPRIETARY RIGHTS
The Website, social media @sauvagezsa, and all the content on it are owned by SAUVAGE ZSA and its licensors. The information and all content are protected by intellectual property, trademark, copyright, and marketing laws. This means that the trademarks of SAUVAGE ZSA, logos, trade names, images, illustrations, graphics, designs, layout, marketing material, product descriptions, and information about products, services, and all other content (excluding user generated content) may not be copied or used without written approval from SAUVAGE ZSA, with no exception for personal and/or non-commercial purposes unless prescribed by authorities having jurisdiction.SA However, please note that the Website may contain links to other websites or content beyond SAUVAGE ZSA's explicit control. SAUVAGE ZSA cannot be held liable and will be held harmless for content or privacy policies of such third party websites. 

All products sold through the Website and in-person remain SAUVAGE ZSA's property until full payment has been received. Any attempts at fraud will be reported to authorities having jurisdiction and SAUVAGE ZSA reserves the right to seek compensation including but not limited to financial compensation for trademark and/or copyright infringement.  If a dispute arises between you as a customer and SAUVAGE ZSA, and we are unable to resolve the dispute, you can submit a complaint to the acting Attorney General or Better Business Bureau. Notwithstanding the above, SAUVAGE ZSA has the right to choose to take legal action against a consumer or company where the consumer or company has its permanent residence should violation of any of these terms occur.

SECTION 18 - ENTIRE AGREEMENT
The failure of us to exercise or enforce any right or provision of these Terms of Service shall not constitute a waiver of such right or provision.
These Terms of Service and any policies or operating rules posted by us on this site or in respect to the Service constitutes the entire agreement and understanding between you and us and governs your use of the Service, superseding any prior or contemporaneous agreements, communications and proposals, whether oral or written, between you and us (including, but not limited to, any prior versions of the Terms of Service).

If any provision of these terms is found to be invalid or unenforceable (partly or in whole), the provision in question shall be enforceable to the extent permitted by applicable law and authority having jurisdiction. Any ambiguities in the interpretation of these Terms of Service shall not be construed against the drafting party. The remaining terms, provisions, covenants, policies, and restrictions set forth herein shall remain in full force and effect, and shall not in any way be affected.

These Terms of Service and any separate agreements whereby we provide you Services shall be governed by and construed in accordance with the laws of United States.
